In view of the extended lockdown due to COVID-19, The Ministry of corporate affairs (MCA) has granted extension for expiration of reservation of name for company incorporation by 20 days from May 31 for those reserved names that were expiring between May 15-31.

Similarly, in case of existing companies, the Extension for expiration of reservation of name for change in name was extended for another 60 days from May 31, said the notification released on Thursday.

Also, on the extension of RSUB validity MCA has said that “SRNs where the last date of Resubmission (RSUB) falls between March 15, 2020, to May 31, 2020, an additional 15 days beyond May 31, 2020, would be allowed. However, for SRNs already marked under NTBR, the extension would be provided on a case to case basis. However, in this case, the forms will not get marked to (Not to be taken on Record) ‘NTBR’ due to non-resubmission during this extended period”.

For LLPs, the Ministry of Corporate Affairs (MCA) has granted extension for expiration of reservation of name and change in name for another 20 days from May 31.

Periods/ days of extension for name reserved and resubmission of form are as below:

Names reserved for 20 days for new company incorporation. Names expiring any day between 15th March 2020 to 31st May would be extended by 20 days beyond 31st May 2020.
Names reserved for 60 days for change of name of existing company. Names expiring any day between 15th March 2020 to 31st May would be extended by 60 days beyond 31st May 2020.
Extension of RSUB validity for companies. SRNs where last date of resubmission falls between 15th March 2020 to 31st May would be extended by 15 days beyond 31st May 2020. However, for SRNs already marked under NTBR, extension would be provided on case to case basis.
Names reserved for 90 days for new LLP incorporation/change of name. Names expiring any day between 15th March 2020 to 31st May would be extended by 20 days beyond 31st May 2020.
RSUB validity extension for LLPs. SRNs where last date of resubmission falls between 15th March 2020 to 31st May would be extended by 15 days beyond 31st May 2020. However, for SRNs already marked under NTBR, extension would be provided on case to case basis.

According to the Company Rules, a Company or an LLP has to first reserve the chosen name for incorporation or changing with the Registrar of Companies (ROC).

The reservation period for names reserved for incorporation is 20 days and those reserved for change of name is 60 days. For LLPs, the period for both is 90 days.

This extension was necessitated as the previous extension of the same granted by the MCA was expiring during the extended lockdown 4.0.

Earlier on April 23, MCA extended the expiration of names reserved for incorporation and for change of name by 20 days from May 3 when the lockdown was first extended.

After that, the lockdown was twice extended till May 18 and again till May 31.
